Melrose Industries PLC (the "Company")
Notification and Public Disclosure of Transactions of Persons Discharging Managerial Responsibility
The Company announces that Ross McCluskey, the Company's Chief Financial Officer, purchased 21,434 Ordinary Shares of £0.001 in the Company (the "Shares") on 25 June 2026 at a price of 474.96 pence per Share. This purchase was undertaken in connection with awards forfeited from Mr McCluskey's previous employer (Intertek Group PLC) when he agreed to join the Company.
The Company also announces that on 26 June 2026, Mr McCluskey was granted awards under the Melrose 2024 Performance Share Plan (the "MPSP") as replacement awards. The awards, in the form of a nil-cost option, were granted over 498,581 Shares and will vest on:
· 11 June 2027 in respect of 63,914 of these Shares;
· 21 March 2028 in respect of 10,822 of these Shares; and
· 19 March 2029 in respect of 423,845 of these Shares,
subject in each case to the achievement of the relevant performance conditions over the vesting period.
