NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Alun Hughes Griffiths, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 1 April 2014, that on 31 March 2014 in London he purchased 29 ordinary shares of 0.5 pence each in the Company at £13.889423 per share following the reinvestment of dividends for shares held in an ISA. This equated to 0.00003% of the voting issued share capital.

Mr. Griffiths' total interest in shares following this notification is 37,347 ordinary shares, representing 0.037% of the voting issued share capital of WS Atkins plc.
