DIRECTOR DEALING

Waterman Group plc, a leading engineering and environmental consultancy, announces that it was notified yesterday that on 7th August 2015 the trustee of the Company's HMRC approved share incentive plan, purchased 202 ordinary shares of 10 pence each ("Ordinary Shares") in the Company at a price of 74.45 pence each on behalf of Nick Taylor, Chief Executive Officer of the Company, using a deduction from his gross salary.

Following this transaction, Mr Taylor's beneficial shareholding in the Company has increased to 175,154 Ordinary Shares representing 0.57 per cent. of the issued ordinary share capital of the Company.
