PDMR Shareholding

Xchanging plc ('Xchanging'), the business technology and services provider, announces that, following the vesting of 210,526 shares previously awarded under the Xchanging plc 2007 Performance Share Plan, Stephen Scott, a person discharging managerial responsibility ('PDMR'), sold 99,272 ordinary shares of 5p each (representing 0.040% of the issued share capital of Xchanging plc) at a price of 133p per share.

Following this transaction, the total number of ordinary shares held by Mr Scott (including those held by connected persons) now amounts to 111,254 (approximately 0.045% of Xchanging's issued share capital).

The above transaction took place on the London Stock Exchange on 7 April 2015 and Xchanging was informed on 8 April 2015. This notification is made in accordance with DTR 3.1.4R(1)(a).
