Director/PDMR Shareholding Notification

Caledonia Investments plc ("Caledonia") has been notified pursuant to DTR 3.1.2R of the following transactions involving two of its directors, Jamie Cayzer-Colvin, and William Wyatt, and one of Mr Wyatt's connected persons, The Dunchurch Lodge Stud Company ("Dunchurch"), all of which took place on 16 December 2014:

Mr Wyatt and Mr Cayzer-Colvin each exercised options over 13,290 ordinary 5p shares in Caledonia, representing 0.02% of Caledonia's total issued ordinary share capital. The options were exercised at a price of 1580p per share. 

Mr Wyatt transferred all of the shares he received to Dunchurch, a private family company with which Mr Wyatt is associated. The shares were transferred at a price of 2283p per share and will be registered in Dunchurch's own name. 

Mr Cayzer-Colvin sold 11,154 of the shares he received at a price of 2283p per share to fund the exercise costs and associated tax liabilities. He retained the remaining 2,136 shares which will be registered in his own name.

Messrs Cayzer-Colvin's and Wyatt's total interests in Caledonia's ordinary shares following the above transactions are as follows:

Beneficial - 364,314 shares = 0.66%

Non-beneficial - 65,953 shares = 0.12%

Options - 19,496 = 0.04%

Performance share scheme awards - 65,520 = 0.12%

Deferred bonus plan awards - 29,534 = 0.05%

Mr Wyatt

Beneficial - 1,058,365 shares * = 1.91%

Non-beneficial - 28,293 shares = 0.05%

Options - 19,496 = 0.04%

Performance share scheme awards - 109,202 = 0.20%

Deferred bonus plan awards - 49,224 = 0.09%

* Includes 953,066 shares owned by Dunchurch.
