NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
AND OF PERSONS CLOSELY ASSOCIATED ("PCAs")
PDMR Shareholding
The Company announces Mr James John Berry, a PDMR of the Company:
· sold 1,063,269 ordinary shares of 0.003 pence each ('Ordinary Shares') on 5 October 2018 at a price of £3.00 per Ordinary Share; and
· received 7,244 Ordinary Shares as a gift from Mrs Berry and then transferred these Ordinary Shares to his Individual Savings Account on 8 October 2018.
PCA Shareholding
The Company further announces that Mrs Karen S Berry (PCA to Mr Berry):
· sold 286,731 Ordinary Shares on 5 October 2018 at a price of £3.00 per Ordinary Share;
· transferred 6,987 Ordinary Shares to her Individual Savings Account on 8 October 2018 (this transfer resulted in a change in legal ownership only); and
· on 8 October 2018 gifted:
o 7,244 Ordinary Shares to Mr Berry;
o 4,872 Ordinary Shares to her daughter Megan; and
o 4,872 Ordinary Shares to her daughter Kayleigh.
Following the above PDMR and PCA shareholding transactions:
· Mr Berry holds 594,594 Ordinary Shares representing approximately 0.72% of the total shareholding in the Company.
· Mrs Berry holds 247,553 Ordinary shares representing approximately 0.30% of the total shareholding in the Company.
· Together Mr and Mrs Berry hold 1.02% of the total shareholding in the Company.
Formal notification in respect of the PDMR is set out below in accordance with the requirements of the Market Abuse Regulation.
