Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified of the following share purchase by J C Humphreys, a person discharging managerial responsibilities of Hill & Smith:

J C Humphreys purchased 3,000 ordinary shares at a price of 236.0 pence per share on 13 September 2011. This transaction was effected on the London Stock Exchange.

As a result of this purchase J C Humphreys now has a beneficial interest in 15,000 ordinary shares of the Company and options over 27,902 ordinary shares of the Company.
