Notification under paragraphs 3.1.2R to 3.1.4R to the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that on 20 September 2012, Derek Muir, a person discharging managerial responsibilities, exercised options to subscribe for 78,114 new ordinary shares in the Company ("Ordinary Shares") at a price of 204.83p per share. 

Following the exercise of his options Mr Muir today sold 78,114 Ordinary Shares at a price of 375.00p per share, such transaction being effected on the London Stock Exchange.

As a result of the above transaction Mr Muir now has a beneficial interest in 116,328 Ordinary Shares.
