Directors Shareholding

This notification is made in accordance with DTR 3.1.4(1)(a) and DTR 3.1.4(1)(b).

On 22 December 2010, an award over 1,290,000 ordinary shares in Management Consulting Group PLC (the "Company") was made to Chris Povey under the Management Consulting Group 2008 Performance Share Plan.

No consideration was paid for the grant of the award which is structured as an option with a nil exercise price.

The vesting of the award is subject to the satisfaction of a performance condition set by the Remuneration Committee of the Company. The award will normally vest on the later of the third anniversary of grant and the determination of the performance condition.

The Company was informed of the above transaction on 22 December 2010.
