Mr Smith has been awarded options over 276,382 ordinary shares of 25 pence each("Ordinary Shares") at an exercise price of 49.75p. The options will becomeexercisable from the third anniversary of the grant date subject to continuedemployment and the satisfaction of a total shareholder return performancecondition.
