DIRECTORS' AND PDMR INTERESTS IN SHARES

United Utilities Group PLC ("the Company") announces that it receivednotification on 19 March 2013 that the Trustee, Equiniti Share Plan TrusteesLimited, purchased ordinary shares of 5p each on behalf of the followingdirectors and persons discharging managerial responsibility on 18 March 2013,to be held in accordance with the rules of the Company's HMRC approved shareincentive plan. The shares were purchased at a price of 685 pence per share.
