NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 6 May 2015, Capital & Regional plc (the Company) received notification that MStead Limited acquired 500,000 ordinary shares in the Company on 5 May 2015 at a price of 56.0p.

Following this Mstead Limited owns 47,158,107 shares representing 6.730% of the issued share capital of the Company.

Louis Norval has a beneficial interest in Mstead Limited. Following this transaction Louis Norval has a beneficial interest in ordinary shares in the Company of 197,548,099 shares representing 28.191% of the issued share capital.
