Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules.

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it has been notified that M A Tonks, a person discharging managerial responsibilities of the Company, sold 20,000 ordinary shares of 25 pence each in Hill & Smith ("Ordinary Shares") on 11 September 2012 at a price of 360.0 pence per Ordinary Share (10,000 Ordinary Shares in the name of Mr M A Tonks and 10,000 Ordinary Shares in the name of his spouse Mrs J Tonks). The transaction was effected on the London Stock Exchange.

Following this sale, Mr Tonks is beneficially interested in 18,006 Ordinary Shares and options over 183,296 Ordinary Shares.
