Notification of Transaction by

Persons Discharging Managerial Responsibilities (PDMRs)

Pursuant to Disclosure and Transparency Rule 3.1.4, the Company hereby notifies that Alastair Cochran, Chief Financial Officer, became entitled on 19 March 2018 to 15,377 ordinary Shares of US$0.02 each in the Company at nil cost, following the automatic vesting of approximately one third of the Shares awarded to him under the Petrofac Restricted Share Plan on 6 October 2016.

Mr Cochran now holds 8,135 Shares, having sold 7,242 Shares to satisfy his tax liability, representing 0.0023 per cent of the total voting rights of the Company.

The Company's issued share capital consists of 345,912,747 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
