Directorate Changes

The Board of Limitless is pleased to announce the appointment of Mr Peter Jay as an independent Non-Executive Director of the Company with immediate effect.

In addition, the Board announces that Mr Dominic White has stepped down from the Board with immediate effect.

Peter Jay, brings with him over 40 years of experience as a solicitor specialised in corporate work and, in particular, in public market matters and in distressed, turnaround and insolvent situations. His experience also includes mergers and acquisitions and management buy-outs.

Mr Jay qualified as a solicitor in 1970 and was a partner in Ingledew Brown Bennison & Garrett and then, later, in Stein Swede Jay & Bibring. From 1998 to 2002, he was the Senior Partner of Finers Stephens Innocent moving to Beachcroft LLP in 2003 as a corporate finance partner until he resigned from the firm in 2007. He was a consultant to Beachcroft LLP for the following 2 years.

Mr Jay continues to advise companies on corporate finance matters and he has held a number of directorships with both private and public companies.

Mr Jay was also a director of the following companies which were placed into an insolvency procedure within twelve months of his directorship:

Balcombes Limited – in connection with his corporate work, from 1981 until his resignation in November 1983, Mr Jay was a non-executive director of Balcombes Limited. The Company was placed into administrative receivership in March 1984.

Subhost Limited – in connection with his client work, Mr Jay was asked to join the board of Subhost Limited in July 1992 from which he resigned in December 1994. The company went into receivership in February 1995.

Top 10 Holdings plc – in connection with his corporate work, Mr Jay was appointed as a non-executive director of Top Ten Holdings plc for the purpose of taking the Company through a reconstruction and company voluntary arrangement. Mr Jay resigned in March 2002 and the company exited its voluntary arrangement in August 2003.

Bridge Bioreseach plc – Mr Jay was appointed as a non-executive director in September 2009, later becoming non-executive chairman in order to oversee the attempted sale of the company’s assets. The company was placed into compulsory liquidation in June 2015.

Mr Jay does not currently own any shares in the Company.

There is no further information to be disclosed pursuant to Schedule Two, paragraph (g) of the AIM Rules for Companies.
