Gibbs and Dandy plc ("Gibbs and Dandy" or "the Company") announces that, following the announcement dated 1 July 2008 from Compagnie de Saint-Gobain that the recommended cash offer for Gibbs and Dandy plc by Saint-Gobain Building Distribution Limited, a wholly-owned subsidiary of Compagnie de Saint-Gobain has been declared wholly unconditional, the following Directors have resigned with immediate effect, as set out in the Offer document dated 19 May 2008:
