PANTHEON INTERNATIONAL PARTICIPATIONS PLC APPOINTMENT OF NEW DIRECTOR The Directors are pleased to announce that Mr David Melvin has accepted aninvitation to join the Board as a non-executive Director with effect from23 February 2015. Mr Melvin is an investment and financial services professional with almost30 years experience in investment and private banking. Most recently he was aPartner and Head of Investor Relations at TDR Capital ("TDR"), a Europeanprivate equity firm, having joined in early 2012. At TDR he was a member of theInvestment Committee and primarily responsible for raising TDR Capital III. Heleft TDR in September 2014 after successfully completing the fundraise. He spent 24 years at Merrill Lynch, latterly Bank of America Merrill Lynch. Hewas a Managing Director for 12 years and held a number of leadership positions,including Global Co-Head of Financial Sponsors and Chairman of EMEA FinancialSponsors and Leverage Finance which involved him working with many of theleading private equity houses in Europe. Mr Melvin is a qualified Chartered Accountant with audit and corporate financeexperience. Mr Melvin is not currently, and has not been in the last five years, a directorof any other publicly quoted companies. There are no details required to be disclosed pursuant to paragraph 9.6.13(2)to (6) of the UKLA Listing Rules in respect of this appointment.
