NOTIFICATION OF INTEREST PURSUANT TO DTR 3.1.2R AND DTR5 OF THE DISCLOSURE AND TRANSPARENCY RULES

The Company received notification on 6 March 2015 that Karoo Investment Fund had disposed of 1,300,000 Ordinary shares on 6 March 2015 at a price of 56.52p. Following this transaction Karoo Investment Fund have an interest in 70,040,911 Ordinary shares of 1p each in Capital & Regional plc, representing 9.995% of the issued share capital of the Company.

Neno Haasbroek and Louis Norval both have a beneficial interest in the shares held by Karoo Investment Fund. Following the above transaction the revised beneficial interests of Neno Haasbroek and Louis Norval in Capital & Regional plc are 180,503,825 and 196,346,409 Ordinary share of 1p respectively.
