Caspian Holdings plc ("the Company") was informed on 23 July 2008, that a director of the Company, Michael Masterman, acquired 3,920,000 ordinary shares of £0.01 each (the "Ordinary Shares") at a price of £0.0225 per share on 23 July 2008 through a related company in which he has a beneficial interest. 

Following this share purchase, Mr. Masterman holds a relevant interest in 25,820,000 Ordinary Shares in the Company representing an interest of 21.8% in the total voting rights of the Company. In addition, Michael Masterman is interested in 6,250,000 options over ordinary shares in the Company as follows:
