(a sino-foreign joint stock limited company incorporated in the People's Republic of China) (Stock Code: 991) MAJOR TRANSACTION FURTHER DELAY IN DESPATCH OF CIRCULAR Reference is made to the Announcement and the Delay Announcement in respect ofthe Investment Agreement which constitutes a major transaction of the Companyunder the Listing Rules. In spite of the progress that has been made in the preparation of the statementof sufficiency of working capital of the Company since the date of the DelayAnnouncement, the Company, based on the consultations with the auditors, expectsthat such statement will be finalised on or before 30 March 2006. Further,additional time is required for the Company to update the information up to 31January 2006 in the indebtedness statement which is required to be included inthe Circular under the Listing Rules. Therefore, the despatch of the Circular,which contains further information of the Investment Agreement and otherinformation in compliance with the requirements of the Listing Rules, will bedelayed to on or before 30 March 2006. Reference is made to the announcements of the Company dated 25 January 2006 (the"Announcement") and dated 15 February 2006 (the "Delay Announcement") in respectof the Investment Agreement which constitutes a major transaction of the Companyunder the Listing Rules. Terms used herein shall have the same meanings as thosedefined in the Announcement unless stated otherwise. Pursuant to Rules 14.38 and 14.40 of the Listing Rules, the Company is requiredto despatch the circular in respect of the aforesaid major transaction (the"Circular") to the Shareholders within 21 days of the publication of theAnnouncement, which falls on or before 16 February 2006. As disclosed in theDelay Announcement, the despatch of the Circular has been delayed until on orbefore 9 March 2006. In spite of the progress that has been made in the preparation of the statementof sufficiency of working capital of the Company since the date of the DelayAnnouncement, the Company, based on the consultations with the auditors, expectsthat such statement will be finalised on or before 30 March 2006.
