GUINNESS PEAT GROUP PLC

ANNOUNCEMENT

Guinness Peat Group plc ("GPG") releases to the London Stock Exchange a copy of a circular dealing with the proposed 2010 Capitalisation Issue and the scrip dividend alternative in lieu of an interim cash dividend already declared. Details of both these matters, including the relevant timetables, were provided in the preliminary announcement of GPG's results to 31 December 2009 released on 26 February 2010.

Two copies of the document have also been lodged with and are available at the London Stock Exchange Document Viewing Facility.
