Subject: SEBI Settlement order dated February 17, 2021 (the "Settlement Order")

Dear Sir,

We would like to inform you that the Company and SEBI have arrived at a settlement documented in order dated February 17, 2021 bearing ref. no. SO/SM/DD/2020-21/6270 in relation to delay in filing of certain disclosures under Regulation 7(2)(b) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.

The said settlement order has been placed by SEBI on its official website. The settlement is without admitting or denying the findings of fact and conclusions of law, in accordance with the applicable provisions of the SEBI (Settlement of Administrative and Civil Proceedings) Regulations 2018.

The Company had paid the settlement charges of Rs. 8,20,782/- (Rupees Eight Lakh Twenty Thousand Seven Hundred Eighty Two only).

Further, there is no material financial impact on the Company due to the Settlement Order.
