Announcement of Termination of GDR Program

TERMINATION OF ADMISSION-TO-TRADING-ONLY (ATT ONLY) GDR PROGRAMME BY ARABIAN FOOD INDUSTRIES COMPANY DOMTY S.A.E ("DOMTY")

Domty hereby announces that on 12 June 2022, Domty sent to The Bank of New York Mellon Corporation (the "Depositary") notice of its decision to terminate the Deposit Agreement entered into between Domty and the Depositary, dated 25 August 2016 (the "Deposit Agreement"), pursuant to which the Depositary issues global depositary receipts (each representing five ordinary shares of Domty with a nominal value of EGP 0.20 each) ("GDRs"). The Deposit Agreement will be terminated effective at 5:00 PM (Eastern Time) on 26 September 2022.

Domty also announces that it will be sending notice to the London Stock Exchange informing them of the proposed cancellation of the admission to trading of Domty's GDRs to the ATT Only market segment of the London Stock Exchange 22 September 2022 (before trading begins). This decision was approved in resolutions passed at an extraordinary general meeting of the shareholders of Domty held on 12 June 2022.

The decision to cancel the admission of all of the GDRs has been in response to two main factors: (i) investor interest in this form of investment in the shares of Domty has become weak; and (ii) the number of issued GDRs has fallen to nearly zero % of the share capital of Domty, and for several months has remained at this level. It is Domty's belief that the preference of investors is to purchase Domty's ordinary shares on the Egyptian Stock Exchange, where they will continue to be listed.
