Oao Gazprom04 February 2008 RELEASE 04.02.2008 Moscow The Board of Directors considered questions of conducting the annual general shareholders' meeting In the headquarters of OAO "Gazprom" the meeting of the Board of directors washeld. The Board of directors came to a decision to conduct annual generalshareholders' meeting of OAO "Gazprom" on the 27th of June, 2008, in Moscow. The list of people, entitled to participate in the shareholders' meeting, willbe made on the basis of registration entries of shareholders of OAO "Gazprom" asof the end of trading day of the 8th of May, 2008. The Board of directors approved the lists of candidates for voting at theshareholders' meeting for elections to the Board of directors and AuditingCommission of OAO "Gazprom". The Board of directors included in agenda of the shareholders' meeting thefollowing items: • adoption of annual accounts; • adoption of annual financial statements, including profit andloss statements (profit and loss accounts); • adoption of allocation of profits according to the results ofthe year 2007; • concerning the amount, terms and the form of dividend paymentaccording to the results of the year 2007; • election of the members of the Board of directors; • election of the members of the Auditing Commission; • approval of auditor ; • concerning the reward of the members of the Board of directorsand Auditing Commission.
