Notification of Interest of PDMR and Connected Person

Xchanging plc, the business process, procurement and technology services provider announces that it has been notified today by Kenneth Lever of a transfer of 100,000 ordinary shares to his spouse Denise Lever on 23 July 2012. The shares were purchased by Kenneth Lever on 4 March 2011 and 9 March 2011. The number of shares transferred amount to 0.041% of the issued ordinary shares of £0.05 each. At the date of the transaction, the price per share was £0.97. There was no change in beneficial ownership, and Kenneth Lever's total holdings following this announcement remain at 311,650 which is approximately 0.128% of the issued ordinary shares.
