PDMR Shareholding

Xchanging plc ('Xchanging'), the business process, procurement and technology services provider, has been informed that Chirag Shah, a person discharging managerial responsibility ('PDMR'), purchased 280,000 ordinary shares of 5p each (representing approximately 0.115% of the issued share capital of Xchanging plc) at a price of 143p per share.

Following this transaction, the total number of ordinary shares held by Mr Shah (including those held by connected persons) has increased to 394,449 ordinary shares (approximately 0.161% of Xchanging's issued share capital).

The above transaction took place in London on Monday, 2 March 2015 and Xchanging was informed on 2 March 2015. This notification is made in accordance with DTR 3.1.4R(1)(a).
