Waterman Group PLC11 December 2006 Waterman Group plc ("the Company") Directors Shareholdings The Company was today informed that Waterman Trustees Limited purchased 84,117ordinary shares of 10p each in the Company ('Ordinary Shares') at a price of173p per share on Friday 8 December 2006. Following this purchase, WatermanTrustees Limited holds 131,473 Ordinary Shares, representing approximately 0.5%of the issued ordinary share capital of the Company. The Company was also today informed by Waterman Trustees Limited that 50,000Ordinary Shares of the 84,117 Ordinary Shares referred to above were purchasedfrom RH Campbell at 173p per share, whose resultant beneficial holding andpercentage interest of issued share capital are 1,014,205 and 3.54%respectively. The Company was further today informed that, on Friday 8 December 2006, thefollowing directors of the Company were granted awards over the following numberof Ordinary Shares under the Company's Share Incentive Plan ('SIP') at 175.5pper share.
