DIRECTOR DEALING

Waterman Group, the international engineering and environmental consultancy, announces that it was notified on 22nd October 2013 that on that date, Mr C. W. Beresford, a director of the Company, exercised 25,000 conditional share awards in the form of Ordinary Shares of 10p each. This award was granted to him on 10th December 2008.

Following this transaction, Mr Beresford's beneficial shareholding in the Company is as follows:
