("Tarsus" or the "Company")
PDMR SHAREHOLDING
On 12 December 2008, Neville Buch, Executive Chairman of Tarsus Group plc, notified the Company of the following.
Of the 8,957,328 ordinary shares of 5p each in the capital of Tarsus ("Ordinary Shares") in which Mr Buch was interested, 277,322 were owned by Owlcastle Limited, a company whose only asset was its shareholding in Tarsus and in which Mr Buch had a 50 per cent. beneficial interest. On 10 December 2008, Owlcastle Limited was put into voluntary liquidation. On 11 December 2008 a specie distribution of 138,661 Ordinary Shares was made to Mr Buch.
Following the specie distribution Mr Buch is interested in 8,818,667 Ordinary Shares, representing approximately 14.28 per cent of the issued ordinary share capital of the Company. Mr Buch's total shareholding does not include any shares held by his immediate family.
For the avoidance of doubt the above interests do not include any interests under options or share incentive plans.
This notification has been made for the purposes of DTR 3.1.4R(1)(a). The transaction took place in London.
