Terrace Hill Group PLC("Terrace Hill" or "the Company")Director ShareholdingNotification under AIM Rule 17

30 April 2014 

The Company was notified on 30 April 2014 by Jon Austen, Group Finance Director of the Company, that on 29 April 2014 he had exercised his option over 594,059 performance share awards which had vested in him in 2011. Jon Austen funded the tax liability arising on the exercise with cash and consequently has retained all the shares subject to the award. The Company satisfied the award with a transfer of an equivalent number of shares held by the Company's Employee Benefit Trust.

Following this, Jon Austen's total beneficial interest in the shares of the Company increases to 1,034,189 shares, representing 0.49% of the total issued share capital of the Company.

The Employee Benefit Trust now holds 425,941 shares in the Company.
