Telford Homes PLC (the "Company")
Exercise of Options and Sale of Ordinary Shares
The Company was informed yesterday that David Campbell, Group Sales and Marketing Director, had exercised share awards over 100,000 ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares"), comprising 33,000 share awards issued under the Company's approved Telford Homes Plc Employee Share Option Scheme and 67,000 share awards issued under the Company's unapproved Telford Homes Plc Employee Share Option Scheme. The Company has been notified that Mr Campbell has today sold all 100,000 Ordinary Shares at a price of 455 pence each to mitigate a significant tax exposure arising from his dual US and UK nationality.
Following these transactions, Mr Campbell has an interest in a total of 47,062 Ordinary Shares, representing approximately 0.06 per cent. of the Company's issued share capital.
Total Voting Rights
The Company has made an application to the London Stock Exchange for the admission to trading on AIM of 67,000 new Ordinary Shares to satisfy the exercise of share awards by Mr Campbell ("Admission"). The 33,000 Ordinary Shares in relation to the exercise of share awards under the Company's approved Telford Homes Plc Employee Share Option Scheme were issued from the Company's blocklisted shares. It is expected that Admission will become effective and dealings will commence at 8.00a.m. on 4 June 2018. For the purposes of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules ("DTRs"), following Admission the issued ordinary share capital of the Company will comprise 75,616,000 Ordinary Shares with voting rights attached (one vote per share). The Company does not hold any shares in treasury. This figure of 75,616,000 may be used by the Company's shareholders as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the DTRs.
