Thewinding up was conducted by the Official Receiver, 5th Floor City Plaza, PinfoldStreet, Sheffield. Factor 1 Limited, a company of which Nigel Rawlings was a director at therelevant time, was placed into voluntary liquidation on 17 January 2003 by ameeting of its creditors. Stephen Conn of Begbies Traynor, Elliot House, 151Deansgate, Manchester, M3 3BP was appointed as the liquidator. The liquidator'sstatement of receipts and payment under section 192 of the Insolvency Act 1986filed with the Registrar of Companies reports that there was minimal deficiencyto creditors at the conclusion of the liquidation. The company was dissolved on28 February 2006. The Natural Skin Care Company Limited, a company of which Nigel Rawlings was adirector at the relevant time, was placed into voluntary liquidation on 9February 2004 by a meeting of its creditors. Michael Perkins of Bulley Davey, 69/75 Lincoln Road, Peterborough, PE1 2SQ was appointed as the liquidator. Thedirectors' estimated statement of affairs filed with Registrar of Companiesstates that, other than paid up shareholders, the only deficiency as regardscreditors was in the amount of £516,395 to 3i plc. The company was dissolved on11 May 2005. In all three Companies Nigel was acting as a non-executive director appointed bythe venture capital funder and assisted with the orderly voluntary liquidationsensuring that all other material creditors were paid. On no occasion were any ofthe actions of Nigel or any of the directors involved criticised, or censured ormade subject to any public incrimination in any way.
