Sophos Group PLC (the "Company") announces, in compliance with its obligations under Rule 5.6.1R of the FCA's Disclosure Guidance and Transparency Rules (the "DTR"), that:

As at 31 December 2019:

·; The Company's capital consisted of 492,444,173 ordinary shares of 3 pence each, with voting rights;

·; the Company did not hold any shares in Treasury; and

·; the total number of voting rights in the Company was 492,444,173.

The above figure of 492,444,173 may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interest in, or a change of their interest in, the Company under the DTR.
