Statement in response to possible offer and Rule 2.8 announcement

The board of directors of the Company (the "Board") announced on 3 May 2019 that it noted the rise in the Company's share price, and confirmed that it had received a preliminary and unsolicited approach from Interactive Investor Services Limited ("Interactive Investor") which might or might not lead to an offer being made for the Company. Early stage discussions took place about a possible combination of the Company and Interactive Investor. Shareholders were advised that there was no certainty that an offer would be made for the Company, nor as to the terms on which an offer might be made.

The Board notes the announcement made earlier today by Interactive Investor that it does not intend to make an offer for the Company, which is a statement falling under Rule 2.8 of the City Code on Takeovers and Mergers (the "Code"). The Board understands that Interactive Investor is withdrawing for its own reasons and continues to be engaged with the acquisition of Alliance Trust PLC's subsidiary Alliance Trust Savings, which was announced on 22 October 2018.

As set out in the announcement made by Interactive Investor earlier today, discussions may be resumed, inter alia, with the approval of the Board.
