Director/PDMR Shareholding

SDL PLC ("the Company") was advised that:

· Jackie Davies, partner to Mark Lancaster, CEO of SDL plc, purchased 500,000 ordinary shares at a price of 300p per share on 13 December 2013. Maria Lancaster, daughter of Mark Lancaster, purchased 15,350 shares at a price of 303.5p per share on 16 December 2013.

As a result of these transactions Mark Lancaster and his connected persons hold 1,201,994 shares representing 1.50% of the Company's issued share capital.
