Director/PDMR Shareholding

SDL PLC ("the Company") was advised that:

· John Matthews, consultant to and PDMR of the Company, purchased 7,000 ordinary shares at a price of 261.5p per share on 17 October 2013.

As a result of this transaction John Matthews' beneficial holdings in the Company increase from 20,000 representing 0.025% of the Company's issued share capital to 27,000, 0.034%.

· David Clayton, Chairman of the Company, purchased 40,000 ordinary shares at a price of 264.3p per share on 22 October 2013.

As a result of this transaction David Clayton's beneficial holdings in the Company are 40,000 representing 0.050% of the Company's issued share capital.
