Grant of Options under 2011 Performance Share Plan

and

2015 Save as You Earn Share Option Scheme

Scapa, a global manufacturer of bonding materials and solutions for the Healthcare and Industrial markets, announces that it has granted share options to the directors listed below and key members of the management team over a total of 959,039 ordinary shares of 5 pence each in the capital of the Company ('Shares') under the 2011 Performance Share Plan ('PSP'). Options over a further 540,156 Shares have been granted under the 2015 Save As You Earn share option scheme ('SAYE'), which is open to all UK employees of Scapa.

Mr Heejae Chae, Group Chief Executive

On 22 July 2015, the Company granted options over 192,683 Shares to Mr Chae under the PSP. These options are exercisable between 22 July 2018 and 21 July 2025 at nil cost per Share, subject to achievement of performance criteria. Following this award, Mr Chae holds 2,354,047 options under the PSP.

On 22 July 2015, the Company granted options over 5,660 Shares to Mr Chae under the SAYE scheme at an exercise price of 159.0 pence per Share. The SAYE option is exercisable between 1 September 2018 and 28 February 2019, subject to the rules of the scheme. Mr Chae holds 5,660 options under the SAYE scheme.

Mr Paul Edwards, Group Finance Director

On 22 July 2015, the Company granted options over 117,907 Shares to Mr Edwards under the PSP. These options are exercisable between 22 July 2018 and 21 July 2025 at nil cost per Share, subject to achievement of performance criteria. Following this award, Mr Edwards holds 1,158,223 options under the PSP.

On 22 July 2015, the Company granted options over 5,660 Shares to Mr Edwards under the SAYE scheme at an exercise price of 159.0 pence per Share. The SAYE option is exercisable between 1 September 2018 and 28 February 2019, subject to the rules of the scheme. Mr Edwards holds 5,660 options under the SAYE scheme.
