NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
DEFERRED EQUITY PLAN - VESTING OF AWARDS
The Company announces that a tranche of the conditional share awards granted under the Company's Deferred Equity Plan ("DEP") to the PDMRs set out in the table below, vested on 29 July 2019 at a price of 270 pence per share.
Pursuant to the vesting, the PDMRs instructed Apex Financial Services (Trust Company) Limited ("Apex"), as the trustee of the River and Mercantile Group Employee Benefit Trust (the "EBT") as follows:
PDMR | Instruction to Apex as trustee of the EBT |
Frances Fahey | To sell all the shares that vested, and to transfer the cash proceeds to the Company, who will subsequently transfer the cash proceeds to the PDMR. Any income tax and national insurance liabilities will be paid by the PDMR. |
Sean Breslin | To sell a proportion of the shares that vested in order to satisfy their income tax and national insurance liabilities immediately arising on vesting, and to transfer the balance of shares into the PDMR's name. |
The table below sets out the shares that vested on 29 July 2019, the number of shares sold, and the beneficial holdings in the Company of the PDMRs following the vesting and sale:
