Statement re Regent Inns plc

Further to its previous announcement, Luminar confirms that 3D Entertainment ("3DE") (in which Luminar has a 49% stake) continues to consider its options regarding Regent Inns and remains interested in entering into discussions with Regent Inns plc ("Regent Inns") to evaluate the financial and commercial logic of a combination of 3DE and Regent Inns to the benefit of shareholders in 3DE and Regent Inns. It is not the current intention that the combination of the businesses would involve an offer being made by 3DE for Regent Inns*.

Further announcements will be made if appropriate.

*Under Rule 2.8 of the City Code on Takeovers and Mergers (the "Code"), this announcement will prevent 3DE for a period of six months from today from, inter alia, announcing an offer or possible offer for Regent Inns unless there is a material change of circumstances or there has occurred an event which has been specified in this announcement as an event which would enable the statement in the asterisked paragraph above to be set aside. 3DE accordingly reserves its rights under Rule 2.8 of the Code to announce an offer or possible offer for Regent Inns and/or to take any other action otherwise precluded under Rule 2.8 of the Code within six months of the date of this announcement in the event that: 

the board of directors of Regent Inns agrees to the making of such an announcement or the taking of such action; or 

a third party announces an offer or a possible offer for Regent Inns; or 

Regent Inns or a third party announces a "whitewash" proposal (as described in Note 1 of the Notes on Dispensations from Rule 9 in the Code) or a reverse takeover (as described in Note 2 to Rule 3.2 of the Code) in respect of Regent Inns; or 

Regent Inns undertakes or announces an intention to undertake any acquisition, disposal, merger, joint venture, scheme of arrangement or other business combination transaction of or involving a material amount.
