RANGER DIRECT LENDING FUND PLC (or the "Company")
Statement regarding Ranger Direct Lending ZDP plc ("ZDPCo")
In the context of the Company having stated on 4 October 2018 that it would expect to vote any zero dividend preference shares ( "ZDP Shares") issued by ZDPCo which it may hold against any Continuation Resolution (as defined in the articles of association of ZDPCo) which might be proposed in accordance with the articles of association of ZDP Co (if at all, and which is not currently proposed), the Company has been asked by ZDPCo to make clear that the ability of any holder of ZDP Shares (including the Company) to vote for or against any resolution of ZDPCo (and/or the validity of any such vote) may depend on the facts applying to, and the voting rights of, that particular holder at the applicable time.
