RANGER DIRECT LENDING FUND PLC (the "Company")

Board Changes - Disclosure in accordance with Listing Rule 9.6.13

As announced by the Company on 19 June 2018, the following individuals were appointed as non-executive directors of the Company at the Company's annual general meeting on 19 June 2018:

1. Dominik Dolenec;

2. Brendan Hawthorne; and

3. Gregory Share.

For the purposes of Listing Rule 9.6.13(1):

1. Mr Hawthorne is currently a director of Phaunos Timber Fund Limited; and

2. Mr Share is currently a director of Kinsale Capital Group Inc. During the past five years, Mr Share has also served as a director of EPIQ Systems Inc.

There is no other information which requires to be disclosed pursuant to Listing Rule 9.6.13 in respect of any of the new directors.
