NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

In accordance with 3.1.2R of the Disclosure and Transparency Rules of the UKLA, Michael Watters, the CEO and Director of Redefine International, informed the Company on 4 June 2014 that he has transferred his indirect beneficial interest of 6,512,697 ordinary shares of 8 pence each in Redefine International ("Ordinary Shares") to a pension fund structure in which Mr Watters is a beneficiary. 

As part of the restructuring, 350,000 Ordinary Shares were disposed on 4 June 2014 for cash at an average price of 57.15 pence per share to create liquidity in the pension fund structure for future investment purposes.

Mr Watters' resulting indirect beneficial interest post this transaction is 6,162,697 Ordinary Shares, representing approximately 0.48 per cent. of the Company's issued share capital.
