Options Granted To and Exercised by Directors

PureCircle (LSE: PURE), the world's largest producer and marketer of high purity stevia ingredients provides an update of new options granted to and exercised by certain directors, as well as the transfer of 11,500 ordinary shares out from treasury on 8 July 2013 to satisfy the exercise of these options.

Options granted and exercised by certain Non-Executive Directors' ("NEDs")

(a) 12,700 options have been granted in lieu of fees for the period from 1 July 2013 to 31 December 2013. These options have an exercise price of GBP3.44 per share, calculated based on 20 days volume weighted average price ("VWAP") to 1 July 2013 and shall vest on 1 January 2014; and

(b) 11,500 options previously issued in lieu of fees for the period from 1 January 2013 to 30 June 2013 were exercised on 3 July 2013 at the price of GBP2.43 per share (based on 20 day VWAP to 31 December 2012).

The interests held by the relevant NEDs following the above movements in options are tabled below:-

Shares issued upon option conversion were taken from treasury shares. Following the said transfer, the total number of issued ordinary shares in the Company is 164,866,294 of which 250,587 are held as treasury shares. The number of voting rights in the Company is 164,615,707. This figure should be used by shareholders as the denominator in the calculation of their interest in the Company.

The shares to be released from treasury have already been admitted to trading on AIM and no further application is necessary.
