COMPLETION OF PRIVATE PLACEMENT

PureCircle (LSE: PURE), the world's leading producer and marketer of high purity stevia, is pleased to announce the completion of its private placement to raise £27.5 million (US$44 million) through the issue of 5 million new ordinary shares at a price of £5.50 per share (the "Placement"). The Placement was initially announced to the market on 21 October 2014, with the increased placing amount notified on 4 November 2014. The Placement was successfully completed upon the receipt of funds, which was finalised overnight. The new shares will be admitted to trading on AIM tomorrow, 13 November 2014.

As noted in the announcement dated 4 November 2014, the total number of ordinary shares currently on issue by the Company (which includes treasury shares) is 169,866,294. Correspondingly, the total number of voting rights is currently 169,737,430, with this figure to be used by shareholders as the denominator in the calculation of their interest in the Company.
