Penna Consulting plc, the international human resources consulting group, was notified on 12 February 2015 that certain of its directors have exercised their rights to acquire shares under the Company's Sharesave Scheme. The number of options exercised and the resultant holdings of the relevant directors were as follows:

The issue of these shares, together with an additional 195,458 ordinary shares issued pursuant to the exercise of shares under the Company's Sharesave Scheme are being satisfied by the re-issue of ordinary shares which were held as treasury shares.

Following this re-issue, the total number of ordinary shares held as treasury shares is 144,646 Ordinary 5p shares and the Company has a total of 25,930,458 Ordinary 5p shares in issue (excluding shares held in Treasury).

The above figure of 25,930,458 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Penna under the Disclosure and Transparency Rules.
