OJSC Polyus Gold (RTS, MICEX and LSE - PLZL), Russia's leading gold producer, today announced preliminary results of the Annual general shareholders meeting (AGM) that was held in Moscow on Мау 15, 2009.
In accordance with the preliminary results, the following resolutions have been passed by the AGM:
Approval of the Annual report of OJSC Polyus Gold for the year 2008, as well as its 2008 financial statements and profit and loss statement;
Resolution not to declare dividend on shares in OJSC Polyus Gold upon the 2008 Company's financial results;
Approval of Rosexpertiza LLC as the Company's auditor for the year 2009;
Election of the Auditing Commission of the Company;
Approval of the terms of Directors' and Officers' liability insurance for members of the Board of Directors of OJSC Polyus Gold;
Approval of remuneration and reimbursement of expenses of the members of the Board of Directors of OJSC Polyus Gold for 2008-2009 and determination of remuneration for the following term;
Approval of participation of OJSC Polyus Gold in the non-profit organization - All-Russia Intersectoral Association of Employers - Producers of Nickel and Precious Metals by joining it as a member.
In accordance with the preliminary results, the AGM elected a new Board of Directors of OJSC Polyus Gold consisting of the following members: Mikhail Prokhorov, Zumrud Rustamova, Andrey Rodionov, Pavel Grachev, Alexander Мosionzhik, Ekaterina Salnikova, Evgeny Ivanov, Maxim Finskiy, Lord Patrick Gillford.
The results of the Annual meeting will be finalized and published as stipulated for by the Federal law "On Joint-Stock Companies".
OJSC Polyus Gold is Russia's leading gold producer and one of the world's largest gold companies in terms of market capitalization, minerals base and output. The Company's asset portfolio includes ore and alluvial deposits in Krasnoyarsk Territory, Irkutsk, Magadan and Amur Oblasts and Republic of Sakha (Yakutia).
