Issue of Equity

PROACTIS Holdings PLC ("PROACTIS", the "Group" or the "Company"), the specialist Spend Control software provider, announces that, on 27 January 2017, 1,070,960 ordinary shares of 10 pence each in the share capital of the Company ("Ordinary Shares") have been issued and allotted pursuant to the exercise of options over Ordinary Shares by Rod Jones, Chief Executive Officer ("CEO").
On 19 December 2016, the Company announced that Rod had tendered his resignation as a director of the Company and from his position as CEO in order to retire on or before 18 December 2017. Rod is now in his notice period and is in the process of transitioning his affairs. As part of that process, on 27 January 2017, Rod exercised options over 1,070,960 new Ordinary Shares and subsequently on the same date sold 405,844 Ordinary Shares at a price of 154 pence per Ordinary Share principally to cover the cost of exercise and the associated tax liability.
In addition, the Company was notified on 27 January 2017 that Tim Sykes, Chief Executive Officer Designate and Chief Financial Officer, purchased 16,234 Ordinary Shares at a price of 154 pence per Ordinary Share, Rodney Potts, Non-Executive Director, purchased 64,935 Ordinary Shares at a price of 154 pence per Ordinary Share and Alan Aubrey, Non-Executive Chairman, purchased 32,467 Ordinary Shares at a price of 154 pence per Ordinary Share.

Issue of Equity and Total Voting Rights
Application has been made for the 1,070,960 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence on 3 February 2017. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.
The total number of Ordinary Shares in issue following Admission will be 50,172,046. Accordingly, the figure of 50,172,046 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
