Voting Rights and Share Capital

Premier Farnell plc (the 'Company') has two classes of shares admitted totrading on a regulated market: ordinary shares of 5 pence each and preferenceshares of 100 pence each.

As of 28 February 2013, issued share capital consists of:

370,410,489 Ordinary Shares; and

3,951,219 Convertible Preference Shares;

The Company does not hold any shares in treasury.

The number of voting rights in the Company is:

370,410,489 in respect of the Ordinary Shares (one vote per share).

The preference shares do not carry voting rights but can be converted intoordinary shares of 5p each. The conversion rate is 2.06864 ordinary shares foreach Convertible Preference Share. The voting rights attaching to these shareswould therefore be 8,173,649.67 if they were to be converted.

Therefore, the total number of voting rights in the Company is 370,410,489.This figure may be used by shareholders as the denominator for the calculationsby which they will determine if they are required to notify their interest in,or change to their interest in, the Company under the FSA's Disclosure andTransparency Rules.
