Voting Rights and Share Capital

As of 29 April, the issued share capital of Premier Farnell plc (the ‘Company’) consists of 371,704,956 Ordinary Shares of 5 pence each admitted to trading on a regulated market, each with one vote per share. The Company does not hold any shares in treasury.

The total number of voting rights in the Company is 371,704,956. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

Until 29 April 2016, the Company also had preference shares of 100 pence each admitted to trading on the London Stock Exchange. On 29 April 2016 the Company redeemed all its preference shares and has applied to cancel the listing of the preference shares with effect from today’s date.The redemption of the preference shares has been announced separately under LR. 9.6.4R(3).
