Voting Rights and Share Capital
Premier Farnell plc (the 'Company') has two classes of shares admitted to trading on a regulated market: ordinary shares of 5 pence each and preference shares of 100 pence each.
As of 29 February 2012, issued share capital consists of:
369,744,573 Ordinary Shares; and
3,949,419 Convertible Preference Shares;
The Company does not hold any shares in treasury.
The number of voting rights in the Company is:
369,744,573 in respect of the Ordinary Shares (one vote per share).
The preference shares do not carry voting rights but can be converted into ordinary shares of 5p each. The conversion rate is 2.06864 ordinary shares for each Convertible Preference Share. The voting rights attaching to these shares are therefore 8,169,926, assuming their conversion.
Therefore, the total number of voting rights in the Company is 369,744,573. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
